Cancellation: A cancellation may only occur in the case of fire, strike epidemic, and any “Acts of God”, or any unavoidable circumstances beyond the control of client and/or Production Company. Should a cancellation occur for any of the above stated reasons, each party shall incur their own expenses.

Dispute Resolution: Any controversy or claim arising out of this contract shall be resolved in a Minnesota court.

Power Avaialability: Client will provide adequate power for all equipment used by production company.

Liability: Production Company shall have his own insurance coverage. Client shall not be responsible, or held liable for, Production Company, Production Company staff or equipment. Production Company, for self and for agents and employees, hereby release the Client from all claims, causes of action, demands and liability arising out of the recordings and process of production of this agreement. Clients total liability under this agreement is Production Company’s fee set forth in this agreement. Client is equally as liable for for thier own staff, personnel, and equipments used.

Arrival: If Client is not on the premises one hour before recordings, Production Compay has the right to reschedule the shoot. If Production Company is not on the premises on time, Client has the right to reschedule the shoot.

Maintenance / Changes: Production Company will have an evaluation meeting via phone / Zoom (or other) / in person for project growth and client satisfaction. Client will recieve one 4K MP4 Video via google drive transfer and have access for up to a month. If client seeks to obtain additional images / edits a fee will apply.

Portfolio / Promotional Purposes: Production Company reserves ownersip to created content. Client reserves promotional rights without a deadline / timeline. After project completion date Production company has the right to use image(s) as content on both online platforms and for portfolio purposes without infrindgement on clients marketing strategy or purpose (as agreed upon with client).

Relationship with Client: Production Company and its organizers are not an employee to the client. They are strictly operating on a freelance / contractor. They have the right to work on aspects of this project at whatever location they see fit for post production without jerpodizing the confidentiality agreement with client. Project schedule will run at an agreement with client and will be scheduled collectively amongst Production Company & Client.

Copyright: Client owns or has permission from the owners of the content being captured. Production Company owns the exclusive copyright to captured and edited images. Client is leasing the these images for an infinite duration BUT cannot claim ownership, or use content for anything else besides the proposed and contract Purpose or seek to sell content without proper documentation from Production Company. Prodcution Company retains the promotional rights as well according to previous promotional agreements (see Portfolio / Promotions).

Hospitality: Hospitality is at the sole discretion of client.
